These Terms and Conditions ("Terms") govern your use of the MonkMedia website at monkmedia.io and any services offered by MonkMedia ("we", "us", "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

MonkMedia provides video marketing, brand storytelling, content management, content strategy, YouTube management, and video editing services. The scope, deliverables, timelines, and fees for each project are agreed upon between MonkMedia and the client prior to commencement of work, and are formalised in a separate Service Agreement or proposal.

2. Payments

2.1 Fees

Service fees are quoted in Indian Rupees (INR) unless otherwise specified. All prices are exclusive of applicable taxes (GST), which will be added at the prevailing rate.

2.2 Payment Processing

Payments are processed securely via Cashfree Payments, a RBI-authorised payment aggregator. By making a payment through our website, you agree to Cashfree Payments' Terms of Service. We accept credit cards, debit cards, UPI, net banking, and wallets as supported by Cashfree Payments.

2.3 Payment Schedule

Unless otherwise agreed in writing, payments follow this schedule:

• 50% advance payment before project commencement
• 50% balance payment upon project delivery or as per agreed milestones

2.4 Late Payments

MonkMedia reserves the right to pause or suspend work on any project where payment is overdue by more than 7 business days from the agreed due date.

3. Intellectual Property

3.1 Client Content

You retain ownership of all content, materials, logos, and assets you provide to MonkMedia. You grant us a non-exclusive licence to use such materials solely for delivering the agreed services.

3.2 Deliverables

Upon receipt of full payment, ownership of final deliverables (videos, graphics, etc.) transfers to the client. MonkMedia retains the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.

3.3 Pre-Payment

Until full payment is received, all creative work, drafts, and deliverables remain the intellectual property of MonkMedia.

4. Revisions and Approvals

Each project includes a specified number of revision rounds as outlined in the project proposal. Additional revisions beyond the agreed scope will be charged at our standard hourly rate. Client approval at each project milestone must be given within 5 business days; delays may affect the overall project timeline.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the agreement.

6. Limitation of Liability

To the fullest extent permitted by law, MonkMedia's total liability for any claim arising out of or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

7. Warranties and Representations

You represent that:

• You have the authority to enter into this agreement
• All content and materials you provide are legally owned by you or you have the rights to use them
• Your use of our services will not infringe any third-party rights

8. Termination

Either party may terminate the engagement with 14 days' written notice. In the event of termination, fees for work completed up to the termination date are payable. The advance payment is non-refundable in the event of client-initiated termination after project commencement.

9. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh.

10. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services following notification of changes constitutes acceptance of the updated Terms.
